1. Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the website https://zeeframes.com and any services provided by ZeeFrames (Private) Limited ("ZeeFrames," "we," "our," or "us"), including UI/UX design, brand design, no-code development, UX research, design systems, prototyping, and related consulting work.
By accessing the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site or our services.
2. About ZeeFrames
ZeeFrames is a UI/UX design and no-code development agency based in Pakistan, serving clients globally. Our services include but are not limited to UI/UX design, product revamp, brand design, MVP design, no-code development (Webflow, Framer, Figma Sites, Bubble), team extension, and platform maintenance and support.
3. Use of the Site
You agree to use our Site only for lawful purposes and in a way that does not infringe on the rights of others or restrict their use of the Site. You must not:
- Attempt to gain unauthorized access to any part of the Site, servers, or systems.
- Upload or transmit viruses, malware, or harmful code.
- Scrape, copy, or reproduce Site content without written permission.
- Misrepresent your identity or affiliation.
4. Services and Engagement
Any service engagement with ZeeFrames is governed by a separate written agreement, proposal, or Statement of Work (SOW) signed by both parties. That agreement defines the scope, deliverables, timelines, payment terms, and other project-specific details. In case of conflict between these Terms and a signed SOW, the SOW takes precedence for the relevant engagement.
5. Fees, Payments, and Cancellations
- Project fees, payment schedules, and milestones are defined in the applicable SOW or proposal.
- Invoices are due within the timeframe specified in the agreement. Late payments may incur additional charges or pause ongoing work.
- Deposits and retainer fees are generally non-refundable unless stated otherwise in writing.
- Either party may terminate an engagement subject to the terms set out in the governing agreement. Work completed up to the termination date remains payable.
6. Client Responsibilities
To ensure successful delivery, clients agree to:
- Provide accurate project requirements, assets, brand guidelines, and feedback in a timely manner.
- Appoint a point of contact authorized to approve deliverables.
- Review deliverables within the agreed review window; delayed feedback may affect project timelines.
- Ensure that any content, trademarks, or materials provided to ZeeFrames do not infringe on third-party rights.
7. Intellectual Property
a) Our Content
All materials on the Site, including text, graphics, logos, images, videos, case studies, and code, are the property of ZeeFrames or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
b) Client Deliverables
Ownership of final project deliverables transfers to the client upon full payment, as specified in the governing SOW. Until full payment is received, all work product remains the property of ZeeFrames.
c) Our Tools and Frameworks
Pre-existing methodologies, design systems, component libraries, code snippets, and internal frameworks used during a project remain the property of ZeeFrames and are not transferred to the client.
d) Portfolio Rights
Unless otherwise agreed in writing, ZeeFrames reserves the right to display completed work in our portfolio, case studies, marketing materials, and award submissions, with appropriate attribution.
8. Third-Party Tools and Platforms
Our services frequently involve third-party platforms such as Figma, Webflow, Framer, Bubble, Calendly, and others. Use of these platforms is subject to their respective terms and conditions, and ZeeFrames is not responsible for their availability, performance, or policies.
9. Confidentiality
Both parties agree to maintain the confidentiality of non-public information exchanged during an engagement. Confidential information may only be disclosed to team members or contractors who need it to perform the work and who are bound by confidentiality obligations.
10. Warranties and Disclaimers
We strive to deliver high-quality work aligned with industry standards. However, the Site and its contents are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee specific business outcomes, conversion rates, revenue increases, or user engagement metrics, as results depend on many factors outside our control.
11. Limitation of Liability
To the maximum extent permitted by law, ZeeFrames shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Site or our services. Our total liability for any claim shall not exceed the amount paid by the client for the specific service giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless ZeeFrames, its directors, co-founders, employees, and contractors from any claims, damages, liabilities, or expenses arising from your breach of these Terms, your misuse of the Site, or your violation of any third-party rights.
13. Termination
We may suspend or terminate your access to the Site at any time, without notice, for any conduct that we believe violates these Terms or is harmful to other users, to us, or to third parties. Project engagements are terminated according to the relevant SOW.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of Pakistan. Any disputes arising in connection with these Terms or our services shall be resolved in the competent courts of Pakistan, unless otherwise agreed in a signed client agreement.
15. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted on the Site. Continued use of the Site or our services after changes are posted constitutes your acceptance of the updated Terms.
